End User License Agreement

This End User License Agreement ("EULA" or "Terms") applies to your use of the Stella iOS / mobile application and all related services made available by StellaLabs, LLC, a Delaware limited liability company ("StellaLabs," "we," "us," or "our") (collectively, the "App" or "Services").

By clicking "Accept," "I agree," "Continue," "Let's Begin," "Let's Start," or any similar button presented in the App, by creating an account, by signing in with Apple or Google, or by otherwise using the App, you indicate your acceptance of these Terms and our Privacy Policy.

If you do not agree to these Terms, do not download, install, or use the App.

These Terms cover the Stella iOS / mobile app only. For the Stella Slack integration, see the Slack Terms.

IMPORTANT NOTICES:

  • ARBITRATION: These Terms contain a mandatory arbitration provision in Section 11 that requires the use of arbitration on an individual non-representative basis to resolve disputes. This means that you and StellaLabs are each giving up rights to sue each other in court or in class actions of any kind.
  • WARRANTY DISCLAIMERS AND LIABILITY LIMITATIONS: Please note the warranty disclaimers and limitations on StellaLabs's liability explained in Sections 8 and 9.

1. The Service

Stella is:

  • An AI emotional wellness companion;
  • Voice and text conversations powered by artificial intelligence, including third-party AI providers as described in our Privacy Policy; and
  • A self-help and emotional wellness support tool — not a healthcare service, therapy, diagnosis, treatment, counseling, or emergency service.

Definitions

  • "App" means the Stella iOS / mobile application made available by StellaLabs, and any successor mobile or web-based application released by StellaLabs and made available under these Terms.
  • "Content" means information and materials made available to you through the App, including text, images, illustrations, formats, logos, designs, icons, photographs, software, audio, and video.
  • "Services" means all services rendered by StellaLabs through the App, including voice and text conversations powered by artificial intelligence to support self-help and emotional wellness goals.
  • "Subscription Term" means the period for which you have agreed to subscribe to the Services.
  • "User" or "you" means an individual using the App and/or the Services.

Updates to these Terms

StellaLabs may update these Terms from time to time. We will post the updated Terms in the App or on this page and update the "Last Updated" date. By continuing to use the App after the update, you accept the updated Terms.

2. AI Processing and User Data

Stella is an AI app. By using the App, you understand and agree that:

  • Information you provide may be processed by StellaLabs and our service providers to provide the Services.
  • The information processed may include onboarding answers, text messages, voice audio and transcripts from voice sessions, conversation context, summaries, personalization data, and account and session information.
  • Our current third-party AI providers include Hume AI (voice and emotional voice interaction) and OpenAI (text generation, summaries, embeddings, and personalization), as further described in our Privacy Policy.
  • Required AI processing is necessary to provide the App. Optional uses (such as opt-in product improvement) are described separately in the Privacy Policy and are tied to your consent.

3. Your Representations and Acknowledgements

Representations

As a condition of using the App and Services, you represent that:

  1. You are at least 13 years of age, you have the legal power and authority to agree to these Terms, and you have not provided any false information to gain access to the App.
  2. You will use the Services only for purposes permitted by these Terms and applicable law.
  3. You will not use the Services to engage in any unlawful behavior or to cause damage, harassment, nuisance, or harm to StellaLabs, other users, or any third party.
  4. You will not report false emergencies relating to yourself, others, or vulnerable populations including children, elders, or people with disabilities.
  5. You will not use any automated programs, data mining tools, web crawlers, or other extraction tools in connection with the App or Services.
  6. You will not sell, resell, rent, or otherwise commercially exploit the Services.
  7. You are responsible for the information you provide to the App.

Acknowledgements

What Stella Is and Is Not

You understand and acknowledge that:

  1. StellaLabs is NOT a healthcare provider or a provider of mental health services and does not engage in the practice of medicine. StellaLabs provides a technology platform that supports users' individual efforts at self-help and emotional wellness. Any decision related to diagnosis or treatment rests with you and your healthcare provider.
  2. Stella is an AI emotional companion, not a therapist, counselor, or mental health professional. The Services are not a substitute for in-person healthcare visits, counseling, therapy, psychiatric care, or other professional care that may be necessary for you.
  3. Subscription fees charged in connection with the Services may not be reimbursable by Medicare, Medicaid, Tricare, other government health care programs, commercial insurers, managed care organizations, or other payors.
  4. The App and Services may not be available in all jurisdictions and may not be available to you based on your location.

4. Account Creation

You may be required to create an account to access and use the App and the Services. We may ask you to provide certain information, such as your name, age, and email address, or to authenticate via Sign in with Apple or Google Sign-In. You agree to provide information that is current, accurate, and complete, to keep your account credentials confidential, and to take responsibility for all activity that occurs under your account.

5. Ownership and License to Use the Services

As between StellaLabs and you, StellaLabs is the sole and exclusive owner of all right, title, and interest in and to the App, the Services, the Content, and all related features and functionality. Subject to your compliance with these Terms, we grant you, during the Subscription Term, a personal, limited, revocable, non-exclusive, non-sublicensable, and non-transferable right to view, download, access, and use the App, Services, and Content solely for your personal and non-commercial use.

6. Subscription and Payment

Subscription Terms

Access to certain features of the Services requires a paid subscription. The subscription fee, billing cycle, and payment terms will be presented to you before you complete your subscription purchase. By subscribing, you agree to pay the applicable fees.

Auto-Renewal

Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date. You can manage your subscription and turn off auto-renewal through your Apple App Store account settings.

Cancellation

You may cancel your subscription at any time through your Apple App Store account settings. Cancellation takes effect at the end of your current billing period. You will continue to have access to the subscription features until the end of your current paid period.

Refunds

Payments are non-refundable except as required by law. Apple handles billing for in-app purchases and subscriptions in the iOS app; refund requests are handled by Apple in accordance with Apple's policies.

7. User Information

Information you provide through the App or Services is your "User Information." Except for the license you grant below, as between you and StellaLabs you retain all rights in and to your User Information.

You grant StellaLabs a license to host, store, transmit, translate, modify, reproduce, and otherwise act with respect to your User Information as needed to operate the Services — for example, to send your messages and voice audio to AI providers (including Hume AI and OpenAI) so Stella can respond, to generate session summaries, to maintain memory across sessions, and, only to the extent you have opted in, to improve the App.

8. Disclaimers

THE APP AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. STELLALABS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

STELLALABS DOES NOT WARRANT THAT THE APP OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. YOU ACKNOWLEDGE THAT YOUR USE OF THE APP AND SERVICES IS AT YOUR OWN RISK.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STELLALABS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE APP OR SERVICES.

10. Indemnification

You agree to defend, indemnify, and hold harmless StellaLabs, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the App or Services.

11. Dispute Resolution and Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall be settled by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Miami, Florida. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

YOU AND STELLALABS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located within Miami-Dade County, Florida.

13. Privacy and Account/Data Rights

For information about what data we collect, how AI and other service providers are used, your privacy choices, and how to delete your account or request your data, please review our Privacy Policy. You can delete your account at any time from inside the iOS app at Settings > Privacy > Delete Account.

14. Entire Agreement

These Terms are the entire agreement between you and StellaLabs relating to the subject matter herein and supersede all previous communications, representations, understandings, and agreements, either oral or written, between the parties with respect to that subject matter, excluding any other agreements that you may have entered into with StellaLabs.
